By accessing or using our website or services, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the website or services.
You confirm you are at least the age of majority in your province/state and have authority to enter into agreements on behalf of yourself or your organization.
We provide digital services such as web design, branding, SEO, PPC, and related consulting. Scope, deliverables, and timelines are set out in our proposal, estimate, or statement of work (“SOW”).
Estimates are valid for 30 days unless stated otherwise. Any changes to scope, content, features, or timelines may require a change order and updated fees.
Unless otherwise stated: 50% deposit to start, balance on delivery/launch or as scheduled in the SOW.
Retainers or subscription services are billed monthly in advance and renew until cancelled under Section 12.
Late invoices may accrue interest and/or suspension of work until payment is received.
You will provide timely access to materials, accounts, approvals, and subject-matter experts. You confirm you own or have rights to all content you supply and that it does not infringe third-party rights or applicable laws.
Your materials remain yours. You grant us a non-exclusive license to use them only to deliver the services.
Our work product (designs, code, documents) is owned by us until paid in full. Upon full payment, you receive a non-exclusive, royalty-free license to use the final deliverables for your business.
We may reference non-confidential work in our portfolio and marketing unless you object in writing.
We may recommend or implement third-party services (hosting, domains, analytics, email, ad platforms, fonts, plugins). You remain subject to those providers’ terms and are responsible for their fees. We are not responsible for third-party outages, changes, or data loss.
Unless a maintenance plan is purchased, you are responsible after delivery for ongoing updates, backups, security, and content accuracy. We may offer paid support at our then-current rates.
You agree not to use our website or deliverables to publish or transmit unlawful, harmful, defamatory, infringing, or abusive content; to violate privacy; to distribute malware; to attempt to gain unauthorized access; or to interfere with network security.
Each party will keep the other party’s non-public information confidential and use it only to perform under these Terms or an SOW, except where disclosure is required by law.
Project agreements end when deliverables are completed and paid.
Retainer/subscription services renew monthly until cancelled. You may cancel with 30 days’ written notice before the next billing cycle. Fees already paid are non-refundable unless required by law.
Services are provided “as is” and “as available.” We do not guarantee specific rankings, traffic, conversions, ad results, or uninterrupted operation. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the website or services is limited to the amount you paid to us for the specific service giving rise to the claim in the three (3) months before the event. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits/revenue/data.
You agree to indemnify and hold YEG Web Solutions harmless from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your content or instructions; (b) your breach of these Terms; or (c) your violation of law or third-party rights.
Your use of the website is also governed by our Privacy Policy and Cookie Policy, which explain how we collect and use personal information and how you can manage your choices.
We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., outages, vendor failures, acts of God, governmental actions).
We may update these Terms periodically. The “Effective date” shows the latest version. Continuing to use the website or services after changes means you accept the updated Terms.
These Terms are governed by the laws of Alberta, Canada, without regard to conflict-of-laws rules. Courts located in Alberta will have exclusive jurisdiction, and you consent to venue there.
